IMPORTANT - READ CAREFULLY

These Terms of Service (“TOS”) establish a legal agreement between you and LaserShots, LLC for the products or services accompanying this TOS, which includes computer software, associated media, printed materials, and Internet-based services (collectively, “LaserShots LLC Services”).

BY USING THE SERVICES, YOU AGREE TO BE BOUND BY THIS TOS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

Note: Section 17 contains a binding arbitration clause and class action waiver that affects your rights for mobile messaging disputes.

1. License and Ownership

The LaserShots, LLC Services are licensed, not sold. LaserShots, LLC and its suppliers retain all ownership rights. This TOS grants you limited rights to use the services as specifically stated in Sections 2 and 3.

2. Grant of License

LaserShots, LLC grants you a limited, nonexclusive, non-transferrable, non-sublicensable, royalty-free license to use the Services solely for the purpose of evaluating or operating provided accounts receivable management solutions.

3. Limitations and Restrictions

  • Prohibitions: You may not modify, reverse engineer, decompile, or disassemble the Services. You may not rent, lease, lend, or provide hosting services in connection with the Services.

  • Data Usage: You agree that LaserShots, LLC may collect technical and business information for support purposes. We will not sell or share your data with unaffiliated companies.

  • Compliance: You must use the Services in strict compliance with all applicable laws and indemnify LaserShots, LLC against any illegal activities engaged in while using the Services.

4. Product Updates

LaserShots, LLC may provide updates or maintenance at its discretion but is under no obligation to do so. This TOS applies to all updates unless provided with separate terms.

5. Further Use Restrictions

You are solely responsible for:

  • Accuracy and integrity of your data (no vulgar/illegal content or viruses).

  • Internet connectivity and security at your location.

  • Calculating and remitting applicable sales taxes.

6. Confidentiality and Feedback

The Services contain trade secrets and proprietary information. You agree to maintain strict confidentiality and not disclose such information to unauthorized third parties. Any Feedback you provide grants LaserShots, LLC a perpetual, irrevocable license to use and incorporate those ideas without compensation.

7. Intellectual Property

All images, photographs, animations, audio, and text incorporated into the Services are owned by LaserShots, LLC. You must treat the Services like any other copyrighted material.

8. Government and Export Rights

  • U.S. Government: Services are provided with commercial license rights or "Restricted Rights" as per FAR/DFAR regulations.

  • Export: You acknowledge that Services are subject to U.S. export laws and agree not to export them to restricted countries or prohibited end-users.

9. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "WITH ALL FAULTS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LASERSHOTS, LLC DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

LASERSHOTS, LLC SHALL NOT BE LIABLE FOR SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR PRIVACY). YOUR SOLE REMEDY FOR A FUNDAMENTAL BREACH IS THE REQUEST FOR AN UPDATED VERSION OF THE SERVICES.

11. Governing Law

This TOS is governed by the laws of the State of Alabama. You consent to the exclusive jurisdiction of the federal and state courts in Houston County, Alabama.

12. Electronic Communications

By using the Services, you consent to receive communications (emails, texts, push notices) electronically. These satisfy any legal requirement that such communications be in writing.

13. Saving a Payment Method

If you instruct us to save payment information, you represent that you have the authority to do so and agree to indemnify us from any related third-party claims.

14. Mobile Messaging Terms & Conditions

  1. Consent: By opting in, you agree to receive recurring automated marketing/informational texts. Consent is not a condition of purchase.

  2. Opt-Out: Text STOP to our number at any time to opt-out. Text HELP for assistance.

  3. Rates: Standard message and data rates may apply.

  4. Dispute Resolution: Disputes related to the SMS program shall be resolved through individual binding arbitration in Dothan, AL, rather than jury trials or class actions.
